- The major area of business for Ayushi Micro Systems is (but not restricted to) Website designing, development and software application development. Ayushi Micro Systems also specializes in offering extremely targeted E -marketing solutions such as Search Engine Optimization (SEO), e-communication technique and analysis etc...

- Ayushi Micro Systems undertakes tasks both on a complete as well as on per hour time frame basis. The fee offered is unique of VAT or any other taxation as may be appropriate and is company for Calendar month from the time frame of quotation unless reported otherwise in the quotation.

- The client is assigned devoted resource(s) along with the necessary sensible and support personnel such as a team leader and a project manager. The client will not attempt to practice enterprise or practice enterprise with current or ex-staff on a Personal time frame. Contravention of this will lead to legal proceedings involving including all events.

- Upon termination of the Project / Contract for whatever reason both Parties shall deliver to the other Party all working documents papers or other material and copies thereof provided to it or prepared by it either in pursuance of this Contract or otherwise.

- During the project / contract when they are contracted to each other, and for a period of five (5) years subsequently from the time frame of this contract, Ayushi Micro Systems and the client will not directly or indirectly participate in a business with their connections or workers now or later handled by them in all nations.

- Both the parties undertake to disclose the information including "confidential information" only to a minimum number of its employees who need to have the information disclosed to them only on a "need-to-know" basis and to ensure that the obligations on use and disclosure of the information are observed by all of the said workers.

- The Project Management Area will only be available online for customers who have entered Ayushi Micro Systems a legally binding agreement with respect to the Ayushi Micro Systems building websites and applications. Ayushi Micro Systems customers will be given a username and password specified as part of your use of the Area Management Project online and does not share this information with third parties access. Use Area Management Project Online is the risk of the customer is Ayushi Micro Systems . In no way can Ayushi Micro Systems liable for any damages resulting from lack of access to personal information, loss or alteration of stored materials or any other event, including service interruptions.

- Ayushi Micro Systems Customer is solely responsible for the content uploaded, posted or otherwise transmitted or distributed through the Service.

- Either party may terminate the service / contract / agreement by notice in writing. Period of notice for major projects is 3 months and is a month for small and medium-sized project. For clients with ongoing projects in time and materials (ongoing projects weekly and monthly with developers and designers dedicated), the period is a minimum of 1 week. Ayushi Micro Systems has the right to "define" the "type" of a project.

- Ayushi Micro Systems has the right to delete any file Ayushi Micro Systems customers at any time, and to cancel any access without notice. Customer is solely responsible Ayushi Micro Systems to keep a copy of the content loaded in Ayushi Micro Systems Online Project Management Area. Ayushi Micro Systems assumes no liability for partial or total loss of the material of the user. Ayushi Micro Systems although not required to file pre-screen display and uploaded by the users, Ayushi Micro Systems reserves the right to access any account and any file, without notice, to verify compliance of Users of Terms and Conditions.

- Personal data provided to Ayushi Micro Systems remain the Ayushi Micro Systems Consumers property. The Ayushi Micro Systems client allows Ayushi Micro Systems to collect and use this information for both operational and marketing requirements. Ayushi Micro Systems agrees not to distribute this information to any third parties, unless specifically required to by Law, or unless given particular authorization by the Ayushi Micro Systems Client.

- During the course of the "project" it is the company's liability to provide all (but not restricted to the following) the appropriate information, articles, images, past value etc... to make the project technologically doable and practical - in the lack of the above or any other appropriate articles Ayushi Micro Systems will use free software / shareware articles as considered fit.

- Ayushi Micro Systems will not be attributed in situation the client insists on using a particular "copyrighted" material - Ayushi Micro Systems would assume that the client has taken care of the legal and copyright implications of using the same and once the final payment and or the website has been made "live" it is considered that the client has given the go forward to use the above mentioned material at its own risk and consequences.

- After the bill of final payment, the consumer will own the specific circumstances of all value we generate for you but not algorithms, techniques, methods, or trade secrets we use to produce it and which belong to Ayushi Micro Systems .

- During project work the consumer is incapable to offer us with necessary details, elements or reviews regularly when expected it could become necessary to reschedule the group / source to other work while we are holding out. If we ask for materials, information, decisions, or approvals from you that we need to finish the work, and you do not provide them within thirty days of our request, we will regard the work to be accomplished and all repayments due.

- Payment Conditions - Tasks running on a devoted basis: 100% in progress at duration of issue of the Work Order (WO). This relates to Daily ranked projects, Regular ranked projects, On-going Time & Elements projects.

- In situation of transaction not obtained as per the conditions set out above, Attention would be energized on the excellent quantity at the quantity of 1.5 % monthly.

- Down payments and progress payments are not refundable if the work is ended before completion.
